Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bhadama mobile application and the website at bhadama.app (together, the "Service"), operated by Popup Bits Pvt. Ltd. ("Popup Bits", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you confirm that you are at least 16 and that you have the legal capacity to enter into these Terms in the country where you reside. If you are using the Service on behalf of a company or other entity, you confirm that you are authorised to bind that entity to these Terms.

2. Your account

To use most features of the Service you must create an account. You agree to:

• Provide accurate and complete information and keep it up to date.
• Keep your password confidential and not share your account with anyone else.
• Notify us immediately at [email protected] if you suspect unauthorised access to your account.
• Be responsible for all activity that occurs under your account.

3. Listings and user content

If you publish a property listing or any other content on the Service ("User Content"), you represent and warrant that:

• You have the right to list the property and that the listing details are accurate and not misleading.
• The photos you upload are yours or you have permission to use them.
• The User Content does not infringe any third-party rights, including privacy, intellectual property, or publicity rights.
• The User Content complies with all applicable laws of Nepal, including any rules on housing, discrimination, and advertising.

You retain all rights in your User Content. You grant Popup Bits a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute your User Content solely as needed to operate, promote, and improve the Service. This licence ends when you remove the content or delete your account, except where required for legal record-keeping or already shared with other users.

4. Marketplace role

Popup Bits is a technology platform that helps landlords list rental properties and helps tenants discover them. We are not a party to any tenancy or rental agreement entered into between users. We do not own, manage, inspect, verify, or warrant any of the properties listed on the Service. Any agreement, payment, deposit, or dispute between a landlord and a tenant is solely between those users.

You should perform your own due diligence — including visiting the property in person, verifying identity, and reviewing any rental contract — before entering into any agreement.

5. Acceptable use

You agree not to:

• Post listings for properties you do not have the right to list, or for properties that do not exist.
• Discriminate against any user on grounds prohibited by law, including caste, ethnicity, religion, gender, or disability.
• Use the Service to send spam, harass other users, or commit fraud.
• Attempt to scrape, reverse-engineer, decompile, or interfere with the Service or its security.
• Upload viruses, malware, or any other harmful code.
• Use the Service for any unlawful purpose or in violation of these Terms.

We may, at our discretion and without prior notice, remove User Content, suspend or terminate accounts, and refuse service to anyone who violates these Terms.

6. Intellectual property

The Service, including its software, design, logos, and trademarks, is owned by Popup Bits and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Service without our prior written consent.

7. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. To the fullest extent permitted by law, Popup Bits disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of listings, and uninterrupted availability.

Popup Bits makes no representations about the existence, condition, legality, or safety of any property listed on the Service, or about the conduct of any user.

8. Limitation of liability

To the fullest extent permitted by law, Popup Bits and its directors, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Service.

Our total aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of NPR 5,000 or the amount you have paid us, if any, in the twelve months preceding the claim.

9. Indemnity

You agree to indemnify and hold harmless Popup Bits from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your use of the Service, (b) your User Content, (c) your breach of these Terms, or (d) any agreement you enter into with another user.

10. Termination

You may stop using the Service and delete your account at any time using the in-app option (Profile → Delete Account) or via bhadama.app/delete-account. We may suspend or terminate your account if you violate these Terms, if we are required to by law, or if we discontinue the Service. Sections that by their nature should survive termination — including sections 3 (the licence), 6, 7, 8, 9, and 12 — will survive.

11. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will notify you in the app or by email and update the effective date above. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may delete your account.

12. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of Nepal, without regard to conflict-of-laws principles. The courts of Kathmandu, Nepal have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any jurisdiction to protect our rights.
